These Terms of Service ("Terms") are a legal agreement between you ("you" or "User") and Hume Health Care LLC, a Delaware limited liability company ("Hume," "we," "us," or "our"), governing your access to and use of Hume Care platform and services (the "Services"). As used herein, "Hume Entities" means Hume and its affiliates, parent entities, subsidiaries, and related companies, together with their respective officers, directors, employees, agents, and representatives. All protections in these Terms extend to all Hume Entities, and each Hume Entity may enforce them directly against you.
By accessing or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (available at [LINK]), which is incorporated herein by reference. If you do not agree to these Terms, you must stop using the Services immediately.
These Terms are subject to change at any time, and your continued use of the Services following any changes constitutes your acceptance of the new Terms.
Hume Health Care LLC is a consumer wellness technology company that operates a technology and administrative services platform only. Hume does not practice medicine, does not employ physicians, does not prescribe medications, and does not dispense drugs. All clinical services — including medical evaluations, prescribing decisions, and ongoing clinical management — are provided exclusively by an independent third-party clinical network of independently licensed physicians (the "Clinical Network").
The Services provide an integrated experience that includes: (a) Hume's wellness platform and mobile application; (b) Hume wellness devices; (c) administrative connection to the Clinical Network; and (d) related non-clinical support services.
Body composition and wellness data collected through Hume devices may be shared with Clinical Network clinicians solely as non-diagnostic, informational context to support your clinical encounter. By accepting these Terms, you hereby expressly authorize Hume to share such data with Clinical Network clinicians for this purpose. Such data is expressly labeled "informational only" and under no circumstances may Clinical Network clinicians rely on such data for diagnosis, prescribing decisions, or medication dosing.
Hume does not control, direct, influence, or participate in any clinical decision-making. All medical advice, treatment recommendations, and prescribing decisions are made exclusively by Clinical Network's independent licensed physicians.
The Services are available only in the United States, and only in states where the Clinical Network maintains licensed physician coverage. Service availability varies by state and is subject to change at any time based on physician licensure, regulatory requirements, and Hume's sole discretion, without prior notice. To be eligible for the Services, you must: (a) be at least 18 years of age; (b) reside in a state where the Services are available; (c) have access to a compatible device and reliable internet connection; and (d) meet any additional eligibility requirements that we may establish from time to time.
Meeting these eligibility requirements does not guarantee that you will be approved for clinical services or that Clinical Network's physicians will prescribe medications for you. All clinical decisions regarding your suitability for treatment are made solely by Clinical Network's independently licensed physicians based on their medical judgment.
Hume reserves the right to update eligibility requirements at any time without prior notice and to deny access to the Services to any individual for any reason.
Telehealth involves the delivery of healthcare services through electronic communications and technology platforms, including video consultations, messaging, and remote monitoring. Telehealth has both benefits and limitations compared to in-person medical consultations.
Hume does not provide medical advice, diagnosis, or treatment. All medical advice and clinical services are provided exclusively by Clinical Network's independent physicians. No physician-patient relationship is created between you and Hume. You may establish a physician-patient relationship with individual physicians within the Clinical Network through the clinical consultation process.

Telehealth consultations are conducted by independently licensed physicians. Service availability varies by location based on physician licensure. Telehealth may not be appropriate for all patients, and in-person evaluation may be recommended in some cases.
Clinical encounter data is governed exclusively by the Clinical Network's own independent privacy practices and policies, available at https://mdintegrations.com/tos#privacy. Hume has no responsibility or liability for the Clinical Network's collection, use, storage, or disclosure of clinical encounter data. Hume's collection and use of non-clinical platform data is governed by Hume's Privacy Policy.
By using the Services, you acknowledge and agree that: (a) Telehealth involves the delivery of healthcare services through electronic communications, including video, audio, and messaging, and has inherent limitations compared to in-person care; (b) All telehealth consultations are conducted by the Clinical Network's independently licensed physicians, not by Hume; (c) Service availability varies by state based on physician licensure; (d) The Clinical Network's physicians may determine that telehealth is not appropriate for you and that in-person evaluation is required; (e) No physician-patient relationship exists between you and Hume — any physician-patient relationship is established solely with Clinical Network physicians through the clinical consultation process.
The clinical services you receive through this platform are provided exclusively by Clinical Network, operating entirely separately from Hume Health Care LLC.
The clinical services relationship between you and the Clinical Network is governed exclusively by Clinical Network's patient agreement, consents, privacy notices, and any other documents required by Clinical Network (collectively, "Clinical Network Documents"), available at [MDI Patient Agreements Link]. You must separately accept the Clinical Network Documents before accessing any clinical services.
Hume is not a party to the Clinical Network Documents and has no responsibility for Clinical Network's clinical services. If Clinical Network's physicians determine you are not a candidate for GLP-1 therapy or any other treatment, that determination is made entirely through Clinical Network's independent clinical judgment, and Hume has no role in such decisions.
By using the Services, you agree to provide truthful, accurate, and complete health information to Clinical Network's physicians. Providing false, misleading, or incomplete health information is a material breach of these Terms and may be illegal under applicable law.
Clinical Network physicians may prescribe two categories of GLP-1 medications:
Branded GLP-1 Medications: FDA-approved branded medications are prescribed by Clinical Network physicians and filled through standard licensed retail or mail-order pharmacies, subject to standard pharmacy terms and conditions.
Compounded GLP-1 Medications: Custom-compounded preparations prescribed by Clinical Network physicians and filled through licensed compounding pharmacies. COMPOUNDED MEDICATIONS ARE NOT FDA-APPROVED AND HAVE NOT BEEN REVIEWED BY THE FDA FOR SAFETY, EFFICACY, OR MANUFACTURING QUALITY. COMPOUNDED MEDICATIONS ARE NOT THE SAME AS, EQUIVALENT TO, OR INTERCHANGEABLE WITH FDA-APPROVED BRAND-NAME MEDICATIONS. By accepting these Terms and proceeding to request compounded medications, you expressly acknowledge and certify that: (a) you have read, understand, and acknowledge the foregoing warnings regarding compounded medications, including that they are not FDA-approved and have not been reviewed by the FDA for safety, efficacy, or manufacturing quality; (b) you are choosing to receive compounded medications voluntarily and of your own free will; (c) you will not seek reimbursement from any insurance plan, government healthcare program, or third-party payer for compounded medications under any circumstances; and (d) Hume has made no representations regarding the safety, efficacy, or quality of compounded medications. Compounded GLP-1 medications are available only where a Clinical Network physician independently determines, in their sole clinical judgment, that a compounded formulation is appropriate for you based on your individual clinical circumstances, which may include but is not limited to a documented history of prior GLP-1 use or a qualifying clinical condition. The eligibility determination for compounded medications is made exclusively by Clinical Network's independently licensed physicians. Hume has no role in and makes no representations regarding any such eligibility determinations.
Hume does not guarantee the availability of any particular medication, prescription approval, or specific pharmacy availability. Availability of GLP-1 medications is subject to change based on applicable law, FDA enforcement, and pharmacy capability.
Pharmacies are solely responsible for compounding, dispensing, and fulfillment. The pharmacy-patient relationship for dispensing purposes is exclusively between you and the dispensing pharmacy; Hume is not a party to that relationship, and no pharmacy-patient relationship exists between you and Hume under any circumstances. Hume is not responsible for pharmacy errors, dispensing issues, medication quality, or fulfillment delays. Hume manages commercial relationships with pharmacy partners for your convenience but does not control pharmacy operations, formulary decisions, dispensing practices, shipping methods, or pricing. Pharmacy availability is subject to change at any time. If your selected pharmacy becomes unavailable, Hume may facilitate connection to an alternative pharmacy partner, but all dispensing decisions remain solely with the pharmacy. Users will be given a choice of pharmacy partners for prescription fulfillment.
This is a self-pay program. Your flat membership fee covers platform access, clinical consultations, and medications if prescribed and fulfilled through Hume's pharmacy partners. Hume is not enrolled with Medicare, Medicaid, or any other federal or state healthcare program. Neither Hume nor you may receive payment from any government healthcare program for services obtained through this platform. By using the Services, you are choosing to pay on a cash basis outside of any government healthcare program.
Hume may, in its sole discretion, create a separate insurance-assisted track in the future for FDA-approved brand-name medications only. If that happens, it will have a different fee structure, separate terms, and separate disclosures. Hume has no obligation to create or maintain any insurance track and may discontinue it at any time without notice. Compounded medications are permanently excluded from any insurance billing or reimbursement under any circumstances.
Hume collects the integrated membership fee as billing agent on behalf of the Clinical Network and pharmacy partners. Hume allocates fees among service components at its sole discretion.
Hume is not responsible for any insurer's coverage determination, denial, or reimbursement decision. Nothing Hume does — including any insurance-related administrative services — constitutes a representation that any service is covered or will be reimbursed.
By using the Services, you agree that:
Hume offers an integrated membership program that combines the costs for the program into a single subscription price, including: platform access, mobile app access, device access (if included in your plan), access to Clinical Network consultation services, and medication costs where applicable and prescribed through Hume's pharmacy partners. If Hume establishes an insurance-assisted program track in the future, pricing and inclusions for that track will be disclosed separately. Hume retains sole discretion over what is included in the membership fee and may change inclusions at any time.
Membership Pricing: Hume offers monthly and annual membership plans at the price displayed at checkout during the sign-up process. For annual plans, the total amount billed will be disclosed at checkout. Promotional pricing, introductory rates, and plan-specific pricing are governed by the terms disclosed at the time of the applicable promotion or checkout. Hume reserves the right to offer, modify, or discontinue any plan type, pricing tier, or promotional rate at any time in its sole discretion.
Devices may be included with certain membership plans or promotions at no additional cost, or are available for separate purchase. Devices are subject to the terms at https://humehealth.com/pages/terms-of-service.
YOUR MEMBERSHIP WILL AUTOMATICALLY RENEW.
By completing your purchase, you expressly authorize Hume to charge your payment method on a recurring basis at the then-current rate for your plan type unless you cancel before your renewal date. Monthly plans renew on a monthly basis and annual plans renew on an annual basis. The charge will occur at the then-current rate, which may change as described in the pricing section above. For annual plans, Hume will send a renewal reminder to the email address on file at least 7 days before your renewal date. You must cancel before your renewal date to avoid being charged for the next renewal period.
You must keep your payment information current and accurate at all times. If your payment method fails, Hume may retry the charge. If the charge cannot be processed, Hume may suspend your access to the Services until payment is received. You remain responsible for all unpaid amounts, including any collection costs.
If a Clinical Network physician determines that you are not eligible for any treatment following your initial evaluation, Hume will automatically refund the membership fee you paid for that membership period within 10 business days of the physician's ineligibility determination. If a device was included with your membership, the refund is conditioned on your return of the device in its original condition; if the device is not returned or is returned damaged, the cost of the device will be deducted from the refund. This is the only circumstance under which a refund is available under these Terms. All other fees are non-refundable.
Your membership fee includes prescription medication costs where a medication is prescribed by a Clinical Network physician and fulfilled through a licensed pharmacy partner. Certain medications, dosages, formulations, or fulfillment options may be subject to additional charges outside the membership fee at Hume's sole discretion, which will be disclosed to you at the time of fulfillment.
There are no refunds for partially used membership periods. If you purchase an annual membership plan and cancel before the end of your paid term, you will retain access to the Services through the end of your paid term, but no pro-rated refund will be provided.
You may cancel your membership at any time via the Account tab on the Web application and navigating to the Subscription section or by contacting support@humecare.com. Cancellation must be submitted through designated channels and must be completed at least 48 hours before your next renewal date to avoid being charged.
Hume reserves the right to change pricing at any time in its sole discretion. Price changes will take effect at the start of your next renewal period and will not apply mid-term to any pre-paid membership period. Hume will provide notice of price changes to the extent required by applicable law. Continued use of the Services after the effective date of any price change constitutes your acceptance of the new pricing. If you do not wish to accept a price change, your sole remedy is to cancel your membership before your next renewal date.
You must create an account to access the Services. You agree to provide accurate, current, and complete information during registration and to update your information as necessary to maintain its accuracy.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You may not share your account access with any other person or allow anyone else to use your account.
The Services are intended for use only on devices running an unmodified, manufacturer-approved operating system. You agree not to use the Services on devices with modified operating systems (including "jailbroken" or "rooted" devices), as such modifications may compromise the security of your health data and constitute a material breach of these Terms.
You must immediately notify us of any unauthorized use of your account or any other breach of security by contacting support@humecare.com.
Our collection, use, and sharing of your personal information is governed by our Privacy Policy, which is incorporated herein by reference and available at [LINK].
Clinical Network maintains its own independent privacy practices and policies governing data from clinical encounters, which are available at https://mdintegrations.com/tos#privacy. Hume makes no representations or warranties regarding Clinical Network's privacy practices and assumes no responsibility for Clinical Network's collection, use, or disclosure of your information.
You retain ownership of your User Content. "User Content" means health intake information, body composition data, wellness data, app inputs, account information, and any other content you submit through the Services. By submitting User Content, you represent that you have all necessary rights to submit it, it does not infringe any third-party rights, and your submission does not violate any law. Subject to applicable law, You grant Hume a worldwide, royalty-free, non-exclusive, perpetual, irrevocable, transferable, sublicensable license to use, modify, and exploit User Content for: operating and improving the Services; research and analytics; sharing with Clinical Network clinicians as non-diagnostic context; and any other lawful business purpose. This license survives termination and is subject to Hume's Privacy Policy. Hume may access, preserve, and disclose User Content as required by law or for enforcement, safety, or fraud prevention. Hume is not responsible for User Content, including any errors, omissions, or misrepresentations, and has no obligation to store, maintain, or return it.
Hume and its licensors own all intellectual property rights in the platform, software, content, and devices. All trademarks, service marks, trade names, and logos appearing in or through the Services are the property of Hume or their respective owners, and no right or license to use any such marks is granted to you, expressly or by implication, without Hume's prior written consent. Subject to these Terms, we grant you a limited, personal, non-commercial, non-transferable, revocable license to access and use the Services for personal use only. If you provide Hume with any feedback, suggestions, ideas, or other input regarding the Services ("Feedback"), you hereby assign to Hume all right, title, and interest in and to such Feedback, and Hume shall be free to use, disclose, reproduce, license, and otherwise exploit such Feedback without restriction or compensation to you. No rights are granted by implication, estoppel, or otherwise beyond those expressly set forth in these Terms, and all rights not expressly granted are reserved by Hume and its licensors.
In accessing, using, or attempting to access or use the Services, you agree not to do any of the following, including but not limited to:
We maintain a zero-tolerance policy for harassment, abuse, or threats directed at Clinical Network clinicians or Hume staff. Prohibited conduct includes verbal/written abuse, threats, discriminatory language, attempting to pressure clinicians for specific prescriptions, and seeking to exploit the consultation process. Hume's determination of what constitutes a violation of this Code of Conduct shall be made in Hume's sole and absolute discretion.
Violation of this code of conduct results in immediate account termination and potential restriction from clinical services. Hume shall have no liability to you or any third party for any termination or suspension of access pursuant to this Code of Conduct, including any resulting interruption of clinical services. If your access is restricted, you may request medical records through Clinical Network's portal.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. HUME AND THE HUME ENTITIES DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY OF DATA, COMPLETENESS, TIMELINESS, FUNCTIONALITY, RELIABILITY, SEQUENCING OR SPEED OF DELIVERY, AND SYSTEM INTEGRATION, TO THE FULLEST EXTENT PERMITTED BY LAW.
HUME DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES, MALWARE, CYBERATTACKS, OR OTHER HARMFUL COMPONENTS. HUME DISCLAIMS ALL LIABILITY FOR ANY DELAYS, FAILURES, INTERRUPTIONS, OR CORRUPTION OF DATA OR CONTENT TRANSMITTED IN CONNECTION WITH THE USE OF THE SERVICES, TO THE FULLEST EXTENT PERMITTED BY LAW.
BODY COMPOSITION MEASUREMENTS, WELLNESS METRICS, AND OTHER DATA GENERATED BY HUME DEVICES AND THE SERVICES ARE PROVIDED FOR INFORMATIONAL AND WELLNESS PURPOSES ONLY. HUME MAKES NO WARRANTY THAT SUCH DATA IS CLINICALLY ACCURATE, COMPLETE, OR SUITABLE FOR ANY MEDICAL PURPOSE. NO BODY COMPOSITION OR WELLNESS METRIC GENERATED BY THE SERVICES SHOULD BE RELIED UPON FOR MEDICAL DIAGNOSIS, TREATMENT, OR ANY CLINICAL DECISION-MAKING. TO THE FULLEST EXTENT PERMITTED BY LAW, HUME DISCLAIMS ALL WARRANTIES REGARDING THE ACCURACY, PRECISION, OR CLINICAL RELIABILITY OF ANY DATA GENERATED BY HUME DEVICES OR THE SERVICES.
HUME SPECIFICALLY DISCLAIMS ALL WARRANTIES REGARDING CLINICAL SERVICES PROVIDED BY THE CLINICAL NETWORK, INCLUDING BUT NOT LIMITED TO ANY WARRANTY AS TO CLINICAL OUTCOMES, WEIGHT LOSS RESULTS, PRESCRIPTION APPROVAL, MEDICATION SAFETY, EFFICACY, OR AVAILABILITY, TO THE FULLEST EXTENT PERMITTED BY LAW.
HUME DISCLAIMS ALL WARRANTIES AS TO THE CLINICAL NETWORK, PHARMACY PARTNERS, OR OTHER THIRD-PARTY SERVICE PROVIDERS, TO THE FULLEST EXTENT PERMITTED BY LAW. HUME DOES NOT GUARANTEE THAT YOU WILL BE PRESCRIBED MEDICATION, ACHIEVE ANY PARTICULAR WEIGHT LOSS OUTCOMES, OR THAT ANY PARTICULAR MEDICATION WILL BE AVAILABLE.
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL HUME OR THE HUME ENTITIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, PERSONAL OR BODILY INJURY, INCLUDING DEATH, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY AND WHETHER OR NOT HUME HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
HUME'S AND THE HUME ENTITIES' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE TOTAL AMOUNT PAID BY YOU TO HUME FOR THE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
HUME AND THE HUME ENTITIES HAVE NO LIABILITY FOR ANY ACTS, ERRORS, OMISSIONS, OR CLINICAL DECISIONS OF CLINICAL NETWORK PHYSICIANS OR PHARMACY PARTNERS — INCLUDING MEDICATION SAFETY, EFFICACY, ADVERSE REACTIONS, SIDE EFFECTS, DRUG INTERACTIONS, ALLERGIC REACTIONS, OR DISPENSING ERRORS FOR ANY COMPOUNDED OR BRANDED MEDICATION. HUME'S COMMERCIAL RELATIONSHIPS WITH PHARMACY PARTNERS CREATE NO DUTY OF CARE, OVERSIGHT OBLIGATION, OR LIABILITY REGARDING MEDICATION SAFETY, QUALITY, OR ADVERSE EVENTS. PHARMACY DISPENSING RECORDS ARE MAINTAINED EXCLUSIVELY BY THE DISPENSING PHARMACY, NOT HUME, AND HUME HAS NO LIABILITY ARISING FROM ANY PHARMACY'S RECORDKEEPING.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. THESE LIMITATIONS ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN THE PARTIES, AND HUME WOULD NOT HAVE PROVIDED THE SERVICES ABSENT SUCH LIMITATIONS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES MUST BE FILED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION AROSE. CLAIMS NOT FILED WITHIN THIS PERIOD ARE PERMANENTLY BARRED.
You agree to indemnify, defend, and hold harmless Hume Health Care LLC and all Hume Entities (affiliates, parent companies, subsidiaries, officers, directors, employees, agents, and licensors) from any and all claims, demands, losses, costs, expenses (including reasonable attorneys' fees), damages, and liabilities arising out of or relating to your use of the Services, your breach of these Terms, or your conduct in connection with the Clinical Network or any pharmacy partner, as further described below.
Hume reserves the right, at its own expense, to assume exclusive control of the defense and settlement of any matter subject to indemnification by you. You shall not settle any such matter without Hume's prior written consent. Hume's assumption of defense does not relieve you of your indemnification obligations. You agree to cooperate fully with Hume in the defense of any claim, including providing access to relevant information and witnesses, at your own expense.
The foregoing indemnification obligations apply to claims arising out of or relating to:
The Clinical Network and pharmacy partners are independent third-party service providers. The clinical services relationship is governed by the Clinical Network Documents, not these Terms. Hume is not responsible for the acts, omissions, clinical decisions, or services of the Clinical Network or pharmacy partners. Clinical Network physicians exercise independent professional medical judgment entirely outside of Hume's direction or control. Hume's commercial relationships with the Clinical Network and pharmacy partners do not create any responsibility, liability, agency relationship, joint venture, partnership, or employment relationship between Hume and those parties, and Hume derives no duty of care, oversight obligation, or liability from such relationships.
The Services may contain links to third-party websites, applications, or services. Hume is not responsible for the content, privacy practices, terms of service, or availability of any third-party services. The inclusion of any link to, or reference to, any third-party website, application, or service does not imply Hume's endorsement of, affiliation with, or sponsorship of such third-party service or its operators. You access any third-party services entirely at your own risk.
By using the Services, you fully release and discharge Hume and all Hume Entities from any and all claims, demands, damages, losses, costs, expenses, liabilities, and legal claims of any kind, whether known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or in any way relating to your interactions, transactions, or dealings with the Clinical Network or any pharmacy partner, including but not limited to any clinical services, prescriptions, medications, adverse events, side effects, drug interactions, allergic reactions, dispensing errors, or products received, prescribed, or provided through such parties. Any dispute, controversy, or claim between you and the Clinical Network or any pharmacy partner is solely between you and that party; Hume has no obligation to participate in, mediate, arbitrate, litigate, or otherwise become involved in or resolve any such dispute. You agree that you will not bring any claim or lawsuit against any Hume Entity arising out of or relating to the acts or omissions of the Clinical Network or any pharmacy partner. If you breach this agreement and bring Hume into a legal proceeding involving the Clinical Network or a pharmacy partner, you will be responsible for all of Hume's costs and attorneys' fees in that proceeding, including costs and attorneys' fees Hume incurs for any motion to dismiss, motion to sever, or other motion to enforce this provision.
We may modify these Terms at any time in our sole discretion. Hume may provide notice of changes by posting to the Services, the website, or the mobile application, by email to the address on file, or by any other means Hume deems appropriate. Changes will take effect on the date specified in the notice, or if no date is specified, upon posting or sending. Changes required by law, regulation, or court order, or necessary to address an urgent security or safety issue, may take effect immediately. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with any changes, your sole remedy is to discontinue use of the Services.
For changes to the arbitration section specifically, we will provide 30 days' notice, and you have the right to reject the change within 30 days. To validly reject any such change, you must send written notice by email to support@humecare.com with the subject line "Arbitration Opt-Out" within thirty (30) days of the date Hume provides notice of the change; rejection notices that do not comply with these requirements shall be deemed invalid and ineffective. If you submit a timely and valid rejection notice, the prior version of the arbitration provisions in effect immediately before the noticed change will continue to govern disputes between you and Hume; for the avoidance of doubt, rejection of a change to the arbitration provisions (a) does not constitute an opt-out from arbitration entirely, (b) does not create any right to litigate disputes in court or before a jury, (c) does not affect any other provision of these Terms, and (d) only preserves the immediately prior version of the arbitration clause until you cease using the Services or subsequently accept an updated arbitration clause through continued use following a future amendment. If you do not submit a valid rejection notice in accordance with this paragraph within thirty (30) days of notice, your continued use of the Services after such thirty (30) day period constitutes your binding acceptance of the updated arbitration terms, without exception.
We may modify, suspend, or discontinue the Services or any portion thereof at any time with or without notice. Hume shall have no liability to you or any third party for any modification, suspension, or discontinuance of the Services or any portion thereof.
This Agreement shall be governed by and construed in accordance with the substantive law of the State of New York, without giving effect to its conflict of law principles.
Any dispute, controversy, or claim arising out of or relating to these Terms, or any breach thereof, shall be determined by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules and Mediation Procedures ("Commercial Rules"). The arbitration shall be conducted in New York, New York, and presided over by one arbitrator. The arbitrator will be agreed to by the parties within thirty (30) days of receipt by respondent[s] of the demand for arbitration, or, in default thereof, appointed by the AAA in accordance with its Commercial Rules. The arbitrator shall issue a reasoned award, which will be final and binding on the parties. The prevailing party in the arbitration, or in any court proceeding to enforce, vacate, or modify the arbitration award, shall be entitled to recover its costs, expenses, and reasonable attorneys' fees. Judgment on the arbitration award may be entered by any federal court of competent jurisdiction.
Informal Dispute Resolution. Before initiating arbitration, the party seeking to bring a claim must first send a written Notice of Dispute to the other party. Notices from users to Hume must be sent to support@humecare.com and include: (a) the user's name and account information; (b) a description of the nature and basis of the claim; and (c) the specific relief sought. Notices from Hume to users will be sent to the email address on file. The parties must engage in good-faith efforts to resolve the dispute informally for a period of sixty (60) days following receipt of the Notice of Dispute ("Informal Resolution Period"). If the dispute is not resolved within the Informal Resolution Period, either party may then initiate arbitration. Any applicable statute of limitations shall be tolled during the Informal Resolution Period. Good-faith participation in the informal process is a prerequisite to initiating arbitration; failure to engage may result in an award of fees against the non-complying party.
Mass Filing Procedures. If fifty (50) or more similar arbitration demands are filed against Hume by the same or coordinated counsel within a reasonably close time period (a "Mass Filing"), the parties agree to: (a) administer the Mass Filing in sequential batches of fifty (50) demands per batch, with only one batch filed, processed, and adjudicated at a time; (b) designate one arbitrator per batch; (c) toll any applicable statute of limitations for demands not yet selected for a batch until such demand is included in an active batch proceeding; and (d) cooperate in good faith with AAA and each other to implement efficient procedures for resolution of the Mass Filing. No arbitration fees associated with a demand in a Mass Filing shall be due until that demand is included in an active batch. This provision does not authorize class arbitration of any kind.
CLASS ACTION WAIVER. YOU AND HUME AGREE THAT ANY ARBITRATION OR COURT PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU AND HUME EACH WAIVE ANY RIGHT TO PURSUE DISPUTES AS A CLASS ACTION OR TO PARTICIPATE AS A CLASS MEMBER IN ANY CLASS ACTION BROUGHT BY A THIRD PARTY.
JURY TRIAL WAIVER. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND HUME EACH WAIVE THE RIGHT TO A JURY TRIAL IN ANY ACTION OR PROCEEDING ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES.
Opt-Out Right. New users may opt out of this arbitration provision within thirty (30) days of first accepting these Terms by sending written notice to support@humecare.com with the subject line "Arbitration Opt-Out." Opting out does not affect any other provision of these Terms.
Limitation on Time to File Claims. To the fullest extent permitted by applicable law, any claim arising out of or relating to these Terms or the Services must be filed within one (1) year after the cause of action arose. Claims not filed within this period are permanently barred.
We may terminate or suspend your access to the Services at any time, with or without cause and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, submission of false health information, fraud, harassment, illegal activity, or any other reason at our sole discretion. Hume shall have no liability to you or any third party for any termination or suspension of your access to the Services, regardless of the reason for such termination or suspension. The following provisions shall survive any termination or expiration of these Terms: Disclaimer of Warranties; Limitation of Liability; Indemnification; Governing Law and Dispute Resolution; Privacy and Data; User Content License; and any other provisions that by their nature should survive termination.
You may terminate your use of the Services by ceasing use and canceling your subscriptions.
Medical Records. Your medical records from clinical encounters are maintained exclusively by the Clinical Network, not by Hume. For access to such records, you must contact the Clinical Network directly through Clinical Network's own processes and portals. Hume does not maintain, control, or have access to your medical records or any other data from clinical encounters, and Hume has no obligation to maintain, produce, or provide access to any such data.
Pharmacy Records. Dispensing records, prescription history, and other pharmacy records from your prescription fulfillment are maintained exclusively by the dispensing pharmacy, not by Hume. For access to pharmacy records, you must contact the dispensing pharmacy directly. Hume does not maintain, control, or have access to any pharmacy dispensing records, and has no obligation to maintain, produce, or provide access to any such records.
By using the Services, you consent to receive communications from Hume (and, separately, from the Clinical Network) via text message and email, including appointment reminders, clinical updates, platform notifications, and billing information.
You may opt out of marketing text messages by texting "STOP" to unsubscribe, but you cannot opt out of essential service communications. You may opt out of marketing emails by following the unsubscribe link in each email.
Standard message and data rates may apply. This consent is not a condition of using the Services.
The federal Physician Payments Sunshine Act requires manufacturers of drugs, devices, biologics, and medical supplies to report certain payments and other transfers of value to physicians and teaching hospitals. Certain states may impose requirements on telehealth service providers, weight loss programs, or health data processors that supplement or differ from those set forth in these Terms, and state-specific disclosures, notices, or rights may be made available through Hume's website, Privacy Policy, or upon request to support@humecare.com. Hume makes no representation that the disclosures in this section are exhaustive of all applicable state disclosure requirements. You are solely responsible for determining which state laws apply to your use of the Services based on your state of residence and location. Hume's failure to include any specific state law disclosure in these Terms does not waive any of Hume's rights under these Terms, does not constitute an admission that any particular state law applies to Hume or the Services, and does not create any obligation on Hume's part beyond what is expressly required by applicable law.
No Waiver. Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
No Agency or Partnership. These Terms do not create any agency, partnership, joint venture, employment, or franchise relationship between you and Hume, between Hume and the Clinical Network, or between Hume and any other third-party service provider.
Assignment. You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms freely in connection with any merger, acquisition, or sale of assets.
Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
Entire Agreement. These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Hume regarding the Services and supersede all prior agreements and understandings.
Headings. The section headings in these Terms are for convenience only and have no legal or contractual effect.
Force Majeure. Hume shall not be liable for any delays or failures resulting from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, fire, flood, earthquake, pandemic or public health emergency, epidemic, war, invasion, hostilities, terrorist attack, civil unrest, government action or regulation, changes in law or regulatory requirements (including FDA enforcement actions affecting compounded medications or drug shortage determinations), embargo, labor disputes or strikes, internet or telecommunications failures, power outages, denial of service attacks or other cyberattacks, failures of third-party service providers (including the Clinical Network and pharmacy partners), or any other event beyond Hume's reasonable control. During any force majeure event, Hume's obligations under these Terms shall be suspended to the extent that performance is prevented or delayed by such event. Hume shall have no obligation to provide refunds, credits, or other compensation for any period during which the Services are disrupted or unavailable due to a force majeure event.
Remedies. You agree that any violation, or threatened violation, of these Terms may cause irreparable and unquantifiable harm to Hume and the Hume Entities for which monetary damages would be an inadequate remedy. Accordingly, Hume shall be entitled to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent or restrain any such violation, without the requirement of posting a bond or other security. These remedies are cumulative and in addition to any other rights and remedies available to Hume at law or in equity.
Construction. This Agreement shall be construed as having been drafted jointly by the parties, and no rule of construction or interpretation requiring construction against the drafter shall apply to the interpretation or enforcement of these Terms.
Export Control. You may not use, export, or re-export the Services or any component thereof in violation of applicable United States export laws and regulations, including but not limited to the Export Administration Regulations and the regulations of the U.S. Department of Treasury Office of Foreign Assets Control. By using the Services, you represent and warrant that you are not located in a country subject to a U.S. government embargo or designated as a terrorist-supporting country, and that you are not listed on any U.S. government list of prohibited or restricted parties.
Non-Discrimination. The Services are provided without regard to race, color, national origin, sex, age, disability, religion, sexual orientation, gender identity, or veteran status.
